These terms govern your access to our website, SaaS platforms, and custom software development services.
1. Acceptance of Terms
By accessing or using the services, websites, or software platforms operated by ILSImperiaTech (ILS Technologies), you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, you must discontinue using our services immediately.
2. Software Development & SaaS Services
ILSImperiaTech provides custom software engineering, SaaS product development, mobile app development, AI solutions, and cloud DevOps services. Specific scopes of work, sprint milestones, deliverables, and acceptance criteria are outlined in individual Statements of Work (SOW) executed between the client and ILSImperiaTech.
- All project timelines and milestones are estimated based on technical requirements and prompt client feedback.
- Scope modifications or additional feature requests outside the agreed SOW will be handled through change requests.
3. Intellectual Property & Code Ownership
We believe in client-first code ownership:
Custom Deliverables & IP Assignment:
Upon receipt of full payment for agreed milestones, 100% of all custom software code, UI designs, and database structures created specifically for the client are assigned to the client.
Pre-existing proprietary frameworks, reusable libraries, and open-source dependencies remain subject to their respective licenses.
4. Confidentiality & Data Security
Both parties agree to protect and keep strictly confidential all proprietary information, product roadmaps, customer data, and trade secrets disclosed during technical engagements. We execute mutual Non-Disclosure Agreements (NDAs) upon request before technical scoping.
5. Payment Terms & Invoicing
Invoices are issued based on agreed project phases or monthly retainers. Payments are due within the timeframe specified on each invoice. ILSImperiaTech reserves the right to pause staging access or production deployments in the event of overdue accounts.
6. Warranties & Limitation of Liability
We warrant that all custom code delivered adheres to professional industry standards and will be free of material defects during the agreed warranty or QA acceptance window. In no event shall ILSImperiaTech be liable for indirect, incidental, or consequential damages resulting from third-party outages, API changes, or unauthorized system access.
7. Governing Law
These terms are governed by and construed in accordance with the laws of India. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Karnataka/Jammu & Kashmir, India.
